2.1 Acceptance of Terms
By accessing or using the Platform in any manner, including browsing, registering, posting Content, or communicating with other Users, you confirm that:
1. You have read and fully understood this Agreement;
2. You are legally capable of entering into binding contracts under the laws of your jurisdiction;
3. You are at least eighteen (18) years of age;
4. You are acting on behalf of yourself or a duly authorised legal entity, and have full authority to bind that entity to this Agreement;
5. All information you provide to the Platform is and will remain accurate, current, complete, and truthful.
2.2 Eligibility
The Platform is designed exclusively for professionals engaged in the international trade of grain, oilseeds, vegetable oils, pulses, rice, sugar, and related commodities and services, including but not limited to traders, brokers, vessel operators, inspection companies, legal advisers, arbitrators, trade finance professionals, and port agents. The Company reserves the right, in its sole and absolute discretion, to deny or revoke access to any person or entity that does not meet these eligibility requirements or that the Company determines to be unsuitable for membership, for any reason and without obligation to provide explanation.
3.1 Account Registration
To access most features of the Platform, Users must create an account by providing accurate and complete information. You agree to:
1. Provide your true full name, professional email address, country of operation, and current company or trading entity;
2. Provide an accurate description of your professional role, industry background, and the commodities or services you deal in;
3. Upload a genuine professional photograph that clearly identifies you as an individual;
4. Keep all account information current and promptly update it upon any change;
5. Maintain the confidentiality of your account credentials and not share access with any third party;
6. Notify the Company immediately of any unauthorised use of your account.
3.2 Mandatory Obligation to Provide Truthful Information
The integrity of the GrainTradeLink community depends entirely on the authenticity of its members. Accordingly, you are strictly and unconditionally obligated to:
1. Provide only truthful, accurate, and non-misleading information at all times, including during registration, verification, profile creation, and when posting any Content;
2. Represent only transactions, offers, and requests that reflect a genuine commercial intent — meaning that any Trade Offer or purchase request you post must represent a real, bona fide intention to trade at or near the stated terms;
3. Refrain from posting fictitious, inflated, or speculative Trade Offers for the purpose of generating inquiries without genuine trading intent;
4. Accurately represent your capacity, authority, and principal relationships — you may not represent yourself as a principal if you are acting as agent or broker without disclosing such capacity;
5. Accurately represent the origin, quality, specifications, certifications, and availability of any commodity you offer for sale;
6. Not impersonate any other person, trader, company, or entity;
7. Not create multiple accounts for the purpose of circumventing suspensions, bans, or subscription tier restrictions.
Verification Process
All Users undergo a manual verification process conducted by the Company before receiving full platform access. Verification may include review of professional background, transaction history, company credentials, GAFTA/FOSFA membership numbers or any other similar organisation, or other industry documentation. Submission of a verification application does not guarantee approval. The Company reserves the right to request additional documentation at any time and to revoke verified status at its sole discretion.
Providing false or misleading information during the verification process constitutes a material breach of this Agreement and will result in immediate account termination.
4.1 Mandatory Content Standards
All Content posted, shared, transmitted, or communicated through the Platform must comply with the following mandatory standards. These are not suggestions — they are binding obligations upon every User:
A. Language & Communication Standards
1. All Content must be written in professional, respectful, and commercially appropriate language. The use of profanity, vulgarity, slang, derogatory terms, insults, threats, or any language that a reasonable professional would consider offensive, abusive, or inappropriate is strictly prohibited;
2. Users must communicate with other members with courtesy and professional respect, regardless of any commercial disagreement or dispute;
3. Aggressive, harassing, intimidating, or coercive language directed at any User, company, or individual is strictly prohibited;
4. Content must be written in a language that the intended recipient can reasonably understand. English is the primary language of the Platform. Posts in other languages are permitted but Users accept that the Company may be unable to moderate non-English content with full accuracy.
B. Trade Content Standards
1. All Trade Offers, purchase requests, and commodity listings must accurately and honestly describe the commodity, quantity, quality specifications, price, delivery terms, shipment period, origin, and any other material terms;
2. Prices quoted must reflect genuine market-aligned commercial intent. Posting deliberately misleading prices to generate inquiries without real intent to trade at those terms is a breach of this Agreement;
3. All commodity specifications stated (protein content, moisture, foreign matter, oil content, GMO status, certifications, and similar) must be accurate and based on reasonable commercial knowledge;
4. Users may not post the same Trade Offer simultaneously in a manner designed to create false impressions of liquidity or demand;
5. Trade Offers must expire or be withdrawn if the commodity is no longer available or the User's intent to trade has changed.
C. Prohibited Content — Absolute Prohibitions
The following Content is absolutely prohibited on the Platform under all circumstances:
• Content that is defamatory, libellous, or makes false statements of fact about any person, company, or entity;
• Content that discriminates against or harasses individuals on the basis of race, nationality, religion, gender, age, disability, or any other protected characteristic;
• Content that violates any applicable law, regulation, or international trade sanction or embargo;

• Content promoting, facilitating, or related to money laundering, fraud, bribery, or corruption;
• False or misleading claims about GAFTA, FOSFA, ICC, or other industry association membership or certification;
• Unsolicited bulk messaging, spam, or commercial solicitations outside the normal scope of commodity trading;
• Intellectual property of third parties without authorisation;
• Viruses, malware, or any code intended to damage, disrupt, or gain unauthorised access to any system;
• Personal data of third parties shared without their consent;
• Content designed to circumvent or manipulate the Platform's verification, ranking, or subscription systems.
5.1 Right to Remove or Edit Content
The Company reserves the absolute, unconditional, and irrevocable right, exercisable at its sole and exclusive discretion, to:
1. Remove, delete, hide, archive, or otherwise make unavailable any Content posted by any User, at any time, for any reason or for no stated reason, without prior notice to the User and without any obligation to explain, justify, or provide grounds for such action;

3. Remove Trade Offers, purchase requests, or market updates that the Company determines, in its sole judgment, to be inaccurate, misleading, fictitious, commercially unreasonable, or otherwise inappropriate;
4. Permanently delete Content without maintaining any backup copy or providing the User with access to deleted Content.
5.2 Right to Suspend or Terminate Accounts
The Company reserves the absolute, unconditional, and irrevocable right to:

3. Terminate accounts found to be in breach of any provision of this Agreement, any applicable law, or any applicable trade sanction;
4. Terminate accounts where the Company has reasonable grounds to believe the User has provided false information, is impersonating another person, or is acting in bad faith;
5. Terminate accounts at the Company's business discretion, including for commercial reasons, platform restructuring, or changes in the Company's policies;
6. Deny reinstatement of any terminated account, at its sole discretion, without obligation to provide reasons.
5.3 No Obligation to Notify
The Company is under no obligation to notify a User prior to, during, or after taking any moderation action, including content removal, content editing, account suspension, or account termination. The Company may, at its discretion, provide notification of moderation actions but such notification shall not be construed as a precedent or obligation in any future case.
5.4 No Liability for Moderation Actions
The Company shall bear no liability whatsoever, whether in contract, tort, statute, equity, or otherwise, to any User or Third Party arising from or in connection with:
1. The removal or editing of any Content, regardless of the reason or circumstances;
2. The suspension or termination of any account, regardless of the reason or circumstances;
3. Any loss of business, commercial opportunity, revenue, profit, data, or goodwill resulting from moderation actions;
4. Any reputational damage arising from moderation actions;
5. The failure to remove Content that a User considers harmful or offensive.
5.5 Right to Preserve for Legal Purposes
Notwithstanding the Company's right to delete Content, the Company reserves the right to preserve copies of any Content, account data, or communications for the purposes of complying with applicable law, responding to legal process, or cooperating with law enforcement authorities, without notice to the User.
